These Terms of Service ("Terms") govern your access to and use of the Atlas TMS website and platform (the "Service"). By accessing or using the Service, you agree to these Terms. This is a generic sample agreement provided for illustration and is not legal advice.
1. Agreement
These Terms form a binding agreement between you and Atlas TMS ("Atlas", "we", "us"). Where you use the Service on behalf of an organisation, you represent that you are authorised to bind that organisation to these Terms. A separate master agreement or order form may apply to paid access and, where it conflicts with these Terms, that agreement prevails.
2. Use of the Service
We grant you a limited, non-exclusive, non-transferable right to access and use the Service for your internal business purposes, subject to these Terms and any applicable plan limits. We may update, enhance, or modify features from time to time.
3. Accounts and access
You are responsible for maintaining the confidentiality of credentials, for all activity under your accounts, and for ensuring that authorised users comply with these Terms. You must notify us promptly of any unauthorised access or suspected security incident.
4. Acceptable use
You agree not to:
- Use the Service in violation of any applicable law or regulation.
- Attempt to gain unauthorised access to systems, data, or accounts.
- Interfere with or disrupt the integrity or performance of the Service.
- Reverse engineer or copy the Service except as permitted by law.
5. Intellectual property
The Service, including its software, design, and content, is owned by Atlas or its licensors and is protected by intellectual property laws. Except for the rights expressly granted in these Terms, no rights are transferred to you. You retain ownership of the data you submit to the Service.
6. Warranties and liability
The Service is provided "as is" and "as available" to the fullest extent permitted by law. We disclaim implied warranties of merchantability, fitness for a particular purpose, and non-infringement. To the extent permitted by law, neither party is liable for indirect, incidental, or consequential damages, and our aggregate liability is limited as set out in the applicable order form.
7. Termination
You may stop using the Service at any time. We may suspend or terminate access if you breach these Terms or where required to protect the Service or other users. Provisions that by their nature should survive termination will continue to apply.
8. Governing law
These Terms are governed by the laws of the jurisdiction stated in your applicable order form, without regard to conflict-of-laws principles. Disputes will be resolved in the courts of that jurisdiction, unless otherwise agreed in writing.
